These Terms and Conditions ("Terms") govern your use of the Electric Genius platform operated by XGenius Apps LLC ("we," "our," or "us"). By accessing or using our service, you agree to be bound by these Terms.

1. Description of Service

Electric Genius is an AI-powered platform that helps electrical contractors manage customer leads, generate professional bids, schedule appointments, and communicate with customers via email and SMS. The platform includes automated AI responses, bid generation, appointment scheduling, and payment processing features.

2. Account Registration

To use Electric Genius, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must be at least 18 years old to use the service.

3. Subscription and Payment

Electric Genius is offered as a subscription service. By subscribing, you agree to pay the applicable fees as described at the time of purchase. Subscriptions automatically renew unless cancelled before the renewal date. We offer a 14-day free trial for new accounts. You may cancel your subscription at any time through the Stripe customer portal accessible from your dashboard.

4. AI-Generated Content

Our platform uses artificial intelligence to generate bid estimates, customer communications, and scheduling responses. While we strive for accuracy, AI-generated content is provided as a starting point and should be reviewed before sending to customers. You are ultimately responsible for all communications and bids sent from your account, whether generated by AI or manually created.

5. Communications (Email and SMS)

By using Electric Genius, you authorize us to send and receive emails and SMS messages on your behalf using your dedicated Electric Genius email address and phone number. You are responsible for ensuring that your use of automated messaging complies with applicable laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act. Your customers may opt out of SMS communications at any time by replying STOP.

6. SMS Terms of Service

Program Name: Electric Genius SMS Notifications

Program Description: Electric Genius sends automated SMS messages on behalf of electrical contractors to their customers, including appointment confirmations, scheduling reminders, bid and quote notifications, running-late alerts, and customer service replies.

Message Frequency: Message frequency varies based on appointment and business activity. You may receive multiple messages per week depending on your interactions.

Message and Data Rates: Msg & data rates may apply. Please contact your wireless carrier for details about your messaging plan.

Opt-Out: You can cancel SMS messages at any time. Just text STOP to the number you received the message from. After you send the STOP message, you will no longer receive SMS messages from that business. If you want to rejoin, text the business number again to opt back in.

Carriers: Carriers are not liable for delayed or undelivered messages.

Privacy: Your phone number and message content will not be sold to third parties or used for marketing or advertising purposes. For more information, see our Privacy Policy.

Upon registration, you may be assigned a dedicated local phone number for use with the platform. This number is owned by XGenius Apps LLC and is provided for your use as part of your subscription. If your subscription is cancelled, the phone number may be released and reassigned.

10. Intellectual Property

The Electric Genius platform, including its software, design, logos, and content, is owned by XGenius Apps LLC and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your business purposes.

11. Limitation of Liability

To the maximum extent permitted by law, XGenius Apps LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. This includes, but is not limited to, loss of profits, data, business opportunities, or goodwill. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Disclaimer of Warranties

Electric Genius is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated bids will be accurate for every situation. You acknowledge that bid pricing should be reviewed and adjusted based on your professional judgment.

You agree to indemnify and hold harmless XGenius Apps LLC from any claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to other users or the platform. You may cancel your account at any time. Upon termination, your right to use the platform ceases, and we may delete your data after a reasonable retention period.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the platform after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Travis County, Texas.
